1. Introduction & Acceptance of Terms

Welcome to HangaVision Ltd. ("HangaVision", "we", "our", or "us"). These Terms of Use (“Terms”) govern your access to and use of the HangaVision website (www.hangavision.com), our digital portals, and any hardware, cooling services, pilot programs, or content provided by HangaVision, including the FreshKeep™ off-grid clean cooling platform.

By accessing our website, registering as a cooperative vendor, making a Mobile Money subscription payment, or using FreshKeep™ cooling lockers, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an agricultural cooperative, market association, or partner organization, you represent that you have the authority to bind that entity.

2. Acceptable Use of Digital & Hardware Services

You agree to use our website, telemetry interfaces, and FreshKeep™ cooling units only for lawful agricultural, commercial, and informational purposes in accordance with these Terms. You must not:

• Misuse Digital Systems: Attempt unauthorized access to our web servers, cloud dashboards, embedded microcontroller networks (ESP32 telemetry), or digital payment gateways.

• Tamper with Hardware: Open, modify, reverse-engineer, bypass sensors, disconnect solar/battery terminals, or physically alter any FreshKeep™ refrigeration unit, Phase Change Material (PCM) lining, or electronic lock mechanism.

• Store Prohibited Items: Place hazardous materials, flammable substances, illicit goods, non-approved chemicals, or unsealed liquids inside FreshKeep™ cooling chambers. Lockers are strictly designated for approved fresh agricultural produce (such as fruits, vegetables, and horticultural crops).

• Commercial Misappropriation: Reproduce, scrape, or use our website content, technical documentation, or brand assets for unauthorized commercial purposes without prior written permission.

• Submit False Information: Provide false, inaccurate, or misleading identification, cooperative stall details, or Mobile Money transaction records.

3. FreshKeep™ Locker Access & Pay-As-You-Keep Subscriptions

Access to physical FreshKeep™ cooling units during market pilots and commercial operations is subject to the following operational terms:

• Registration & Allocation: Locker compartments are allocated to registered market vendors, smallholder farmers, or cooperative members (such as vendors operating at Ziniya Market or partner pilot hubs) under specific pilot or cooperative agreements.

• Mobile Money Payments: Cooling services offered under our Pay-As-You-Keep model require advance or daily subscription payments via approved Mobile Money platforms (MTN MoMo or Airtel Money). Access credentials or electronic locker releases are activated upon verified payment confirmation.

• Produce Retrieval & Unclaimed Goods: Vendors must retrieve stored produce upon the expiration of their paid subscription period. HangaVision reserves the right, in coordination with market cooperative leadership, to clear and dispose of spoiled or abandoned produce left in lockers beyond 48 hours past an expired subscription to maintain sanitary cold-chain standards for other users.

4. Intellectual Property Rights

All content, hardware architectures, and digital materials associated with our services—including text, graphics, the HangaVision and FreshKeep™ names and logos, CAD enclosures, thermal engineering designs, embedded C++ firmware, and web interfaces—are the exclusive property of HangaVision Ltd. or its licensors and are protected by Rwandan and international copyright, trademark, and industrial design laws. You may not reproduce, distribute, modify, or create derivative works from any of our intellectual property without prior written consent.

5. Pilot Programs, Telemetry & User Feedback

• Pilot Deployments: FreshKeep™ units deployed for field testing, academic demonstration, or cooperative trials are governed by these Terms alongside any site-specific Pilot Memoranda of Understanding (MoUs).

• Operational Telemetry: You acknowledge that FreshKeep™ units automatically log non-personal environmental and diagnostic telemetry (including chamber temperature, relative humidity, door open/close frequency, and compressor/battery status) to ensure cooling quality and support research validation.

• Feedback & Survey Data: Any voluntary feedback, shelf-life observations, spoilage metrics, or technical suggestions submitted through field surveys, cooperative interviews, or support channels may be freely utilized by HangaVision to refine our hardware, publish anonymized impact metrics, and commercialize our products without financial obligation or compensation to you.

6. Privacy & Data Protection

Your use of our website and services is also governed by our Privacy Policy, which details how we collect, process, and safeguard your personal, payment, and operational data in strict compliance with Law Nº 058/2021 of 13/10/2021 Relating to the Protection of Personal Data and Privacy of the Republic of Rwanda.

7. Disclaimers & Limitation of Liability

• "As Is" Provision: Except as explicitly guaranteed in a separate written commercial lease or service level agreement, our website, digital content, and pilot hardware are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

• Produce Quality & Spoilage: While FreshKeep™ is engineered to maintain optimal thermal and humidity conditions to extend post-harvest shelf life, HangaVision does not guarantee the market sale price of stored goods and is not liable for pre-existing crop disease, latent field damage, improper vendor packaging, or produce degradation resulting from force majeure events, extreme grid/solar disruptions, or user failure to properly close locker doors.

• Limitation of Damages: To the fullest extent permitted by Rwandan law, HangaVision Ltd., its founders, employees, and institutional partners (including RP Kigali / Business Incubation & Innovation Hub) shall not be liable for any indirect, incidental, special, or consequential damages—including lost profits, market revenue loss, or business interruption—arising from your use of our website or cooling units. Where liability cannot be lawfully excluded, HangaVision’s total cumulative liability shall not exceed the total Pay-As-You-Keep subscription fees paid by the claimant during the thirty (30) days immediately preceding the event.

8. Suspension & Termination of Access

We reserve the right to suspend or revoke your access to our website or FreshKeep™ cooling lockers immediately, without refund, if you breach these Terms, damage hardware units, fail to remit required subscription fees, or engage in conduct that compromises the hygiene, safety, or operational integrity of our cold-chain installations.

9. Changes to Terms

We may update or revise these Terms from time to time to reflect new hardware features, regulatory changes, or expanded commercial operations. When updates are made, we will revise the "Last Updated" date at the top of this page. Continued use of our website or FreshKeep™ units after changes are posted constitutes your acceptance of the revised Terms.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Rwanda. Any dispute arising out of or relating to these Terms or the use of FreshKeep™ units shall first be addressed through good-faith amicable negotiation (involving market cooperative leadership where applicable). If unresolved within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Kigali, Rwanda.
